Terms of Use

These Terms govern your access to and use of Maia — a private, invitation-only membership network — including its website, platform, and member services (together, the "Service"). By applying, accepting an invitation, or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. Who may use Maia

Maia is invitation-only. Membership begins with a nomination from a current member and is granted at Maia's sole discretion following review. You must be at least 18 years old, provide accurate and complete information, keep it up to date, and maintain only one account. You are responsible for activity that occurs under your account and for keeping your sign-in credentials secure.

2. Membership

Membership is personal to you, non-transferable, and may be declined, suspended, or revoked at Maia's discretion — including where these Terms are breached or where continued membership would harm the network or its members. Membership confers no ownership interest in Maia and no right to any particular feature, introduction, venue, or outcome.

3. Community & conduct

Maia works because members trust one another. You agree to:

treat other members, their information, and their time with discretion and respect;
keep member information and private conversations confidential, and not share them outside the network;
make and accept introductions in good faith;
not harass, deceive, spam, or solicit members in ways they have not invited;
not scrape, harvest, copy, or export the membership or its data, and not use automated means to access the Service;
not misrepresent your identity, achievements, or affiliations.

4. The capital / merchant banking layer

Maia is developing a capital layer described elsewhere on this site as the "merchant banking layer." It is forthcoming and not currently available.

Nothing on the Service is an offer to sell or a solicitation of an offer to buy any security, an invitation or inducement to engage in investment activity, or investment, legal, tax, or financial advice. Maia is being designed to facilitate introductions between members; it does not advise members on whether, where, or how to invest, and does not act as a broker, dealer, or investment adviser. Any future capital activity will be made available only where lawful, only to eligible and verified persons, and only under separate terms provided at that time. Investments carry risk, including total loss of capital; seek your own independent professional advice.

5. Your content

You retain ownership of the content you submit — your profile, messages, and application materials. You grant Maia a non-exclusive, worldwide licence to host, display, and use that content as needed to operate the Service (for example, showing your profile to other members). You are responsible for the content you provide and confirm you have the right to share it.

6. Intellectual property

The Maia name, brand, website, design, and software are owned by Maia and protected by applicable law. These Terms do not grant you any right to use them except as necessary to use the Service as intended.

7. Third-party services

The Service relies on third-party providers (for example, for hosting, authentication, and email) and may link to third-party venues, partners, or websites. We are not responsible for third-party services or content, which are governed by their own terms.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any introduction, connection, event, or venture will produce any particular result.

9. Limitation of liability

To the fullest extent permitted by law, Maia and its founders, officers, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, opportunities, data, or goodwill, arising from your use of the Service or any interaction or transaction between members.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we handle your information.

11. Changes

We may update these Terms as the network evolves. When we make material changes, we will update the date above and, where appropriate, notify members. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing law

Maia is operated by its founding entity, which is in the process of being established. These Terms, and any dispute arising from them, will be governed by the laws of that entity's jurisdiction.

The specific operating entity and governing jurisdiction will be stated here once the company's formation is complete.
